Terms and conditions for licensing designs from the Wall Art collection

§1 General Provisions

1.1. These regulations define the terms and conditions for licensing designs from the Wall Art collection (“ Designs ”).

1.2 These Regulations apply to the Works to which the copyrights are held by Wall Art Spółka z ograniczoną odpowiedzialnością with its registered office in Wrocław at ul. Ćwiczebna 4, registered in the District Court for Wrocław-Fabryczna in Wrocław, 6th Commercial Division of the National Court Register under the KRS number 0000692480, NIP (Tax Identification Number) 8952156363, REGON (National Business Registry Number) 368131961, share capital: PLN 5,000 (hereinafter referred to as the " Licensor ").

1.3. The Licensee may use the Works only to the extent and under the terms specified in these Terms and Conditions and in the License Agreement entered into with the Licensor from time to time. In the event of any discrepancy between the License Agreement and these Terms and Conditions, the provisions of the License Agreement shall prevail.

§2 Types of licenses granted

2.1. The Licensor provides for the granting of the following types of licenses:

1. LICENSE NO. 1:

1) contract concluded for time marked 1 year or achievement a limit of 1000 copies of products containing the work ,

2) for all fields of use, including wallpapers and wall decorations,

3) license non-exclusive ,

4) without territorial restrictions,

5) open file ( enabling further use),

6) remuneration for granting a license:

- PLN 40,000 net – for bestselling designs,

- PLN 20,000 net – for other designs;

2. LICENSE NO. 2:

1) concluded contract for a fixed period of 2 years or achievements a limit of 1000 copies of products containing the work ,

2) for all fields of exploitation, excluding wallpapers and wall decorations ,

3) license exclusive ,

4) without territorial restrictions,

5) open file ( enabling further use),

6) remuneration for granting the license: PLN 8,000 net

3. LICENSE NO. 3:

1) concluded contract for an indefinite period ,

2) for all fields of exploitation, excluding wallpapers and wall decorations ,

3) license exclusive ,

4) without territorial restrictions,

5) open file ( enabling further use),

6) remuneration for granting the license: PLN 15,000 net;

4. LICENSE NO. 4:

1) concluded contract for an indefinite period ,

2) for all fields of use, including wallpapers and wall decorations,

3) license non-exclusive ,

4) territorial restriction – only outside the borders of the Republic of Poland ,

5) open file ( enabling further use),

6) remuneration for granting the license: PLN 30,000 net;

5. LICENSE NO. 5:

1) concluded contract for an indefinite period ,

2) for a specifically designated field of exploitation agreed by the parties,

3) license non-exclusive ,

4) without territorial restrictions,

5) closed file ( for single use ),

6) remuneration for granting a license:

- PLN 2,000 net – for bestselling designs,

-  PLN 1,000 net – for other designs.

 

§3 Final Provisions.

3.1 The Licensee is obliged to comply with the terms of the License granted to him, taking into account: the provisions of these Regulations, the License Agreement and applicable legal provisions, in particular the provisions of the Civil Code and the Act of 4 February 1994 on Copyright and Related Rights (i.e. Journal of Laws of 2025, item 24), and is also liable under the law for using the Works in violation of these terms.

3.2. If the Licensee's culpable violation of the provisions referred to in section 3.2. above results in a third party filing a claim against the Licensor, the Licensee shall be obligated to satisfy such claim and indemnify the Licensor from any claims under Article 392 of the Civil Code, or to compensate the Licensor for any resulting damage, including the Licensee's obligation to reimburse all costs incurred by the Licensor (in particular, the costs of court proceedings and legal representation). Furthermore, the Licensor undertakes to join any legal proceedings as a party or intervenor on the Licensor's side, depending on the procedural situation.

3.3. The License Agreement each time regulates the scope and principles of personal data processing.

3.4. The law applicable to all legal relations related to the granting of the license by the Licensor is Polish law.

3.5. The regulations are effective from January 23, 2025

3.6. The Licensor reserves the right to change the Regulations, in particular for reasons resulting from changes in legal provisions, subject to section 3.7 below.

3.7. A change in the Licensor's address details or a change in the Licensor's data resulting from a change in the legal form of its business activity does not constitute an amendment to the Regulations.

3.8. The Regulations in their wording applicable before such change shall apply to a License granted before the entry into force of the amendment to the Regulations.
